Terms for Codex and ChatGPT plugins
These terms cover The Doers Firm plugin packages and skills used in Codex or ChatGPT. OpenAI’s terms, workspace policies, and the terms of connected providers also apply to their respective services. Publishing or submitting a plugin does not imply OpenAI endorsement, verification, approval, or guaranteed directory availability.
Unless a package includes a different license, we grant you a non-exclusive permission to use the supplied skills for your own lawful personal or business tasks, subject to these terms. Third-party materials retain their own licenses. Our general restrictions on reselling the Services do not prohibit ordinary use of generated deliverables in your business, subject to input rights and the underlying provider’s output terms.
Capabilities vary by plugin version and environment. Review the package and permissions before installation. You must have authority to access the files, repositories, accounts, and services used in your task. A plugin installation is not approval for unrelated data transfers, publication, spending, destructive actions, or expanded access. Review and authorize consequential actions using the host’s controls.
AI instructions and outputs may be incomplete or incorrect. Review proposed edits, commands, generated content, and security findings before relying on them. Keep suitable backups and use an appropriate review process for deployments, production changes, and sensitive decisions. Security reviews do not certify that software is secure.
Uninstalling or disabling a plugin stops its future availability in that host as supported by the platform; it does not undo edits, delete generated files, cancel subscriptions, or revoke all third-party permissions. Revoke those permissions separately where necessary. Platform subscriptions and paid external API usage are charged by the relevant provider; installation alone is not an agreement to buy services from us.
We may release package updates to fix errors or change workflows. The installed version determines behavior, and some capabilities depend on third-party availability. Report package issues to thedoersfirm@gmail.com with the plugin name and version. Statutory consumer rights and liabilities that cannot lawfully be excluded remain unaffected.

6. Client projects and engagements
Where you engage us for design, development, or consulting services, the specific scope, deliverables, timeline, and fees will be set out in a written proposal, statement of work, or invoice accepted by you.
6.1 Client responsibilities
- Providing timely feedback, approvals, content, access, and materials reasonably required to complete the work.
- Ensuring you have the rights to any content, data, or assets you provide to us.

6.2 Revisions and scope changes
Each engagement includes the revision rounds stated in the proposal. Additional revisions or changes to scope may require a revised estimate and timeline, which we will agree with you before proceeding.
6.3 Delays
Timelines depend on timely cooperation from you. We are not responsible for delays caused by incomplete information, late feedback, or third-party dependencies outside our reasonable control.
7. Fees, billing, and taxes
Fees for our services are stated in the applicable proposal or invoice. Unless otherwise agreed, projects require a deposit before work begins, with the balance invoiced at agreed milestones or on completion.
Invoices are payable within the period stated on the invoice, typically 7 days. Late amounts may be subject to interest and suspension of work. All fees are exclusive of applicable taxes, which you are responsible for, except for taxes on our income.
Subscription products renew automatically at the stated interval until cancelled. You are responsible for cancelling before the next renewal date.
8. Intellectual property
8.1 Our intellectual property
The Services, including our website, brand, code, designs, frameworks, templates, documentation, and underlying technology, are owned by us or our licensors and are protected by intellectual-property laws. These Terms do not grant you any right to our trademarks, logos, or branding.
8.2 Client materials
You retain ownership of the content, data, and materials you provide to us. You grant us a limited licence to use them solely to provide the Services.
8.3 Deliverables
On full payment, ownership of final deliverables created specifically for you transfers to you, excluding our pre-existing tools, components, libraries, and know-how, which remain ours and are licensed to you for use as part of the deliverables.
8.4 AI-generated output
Ownership of AI-generated output may be uncertain and is governed by the terms of the underlying model provider. We make no representation that AI output is original, non-infringing, or eligible for copyright protection. You are responsible for how you use AI output.
9. Third-party platforms and services
Our AI applications and tools may operate through third-party platforms, including OpenAI's ChatGPT and GPT Store. Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, performance, or practices of third-party platforms, and we may be required to comply with their policies, which can change without notice.
10. Confidentiality
Each party may receive confidential information from the other. The receiving party agrees to use confidential information only to perform its obligations and to protect it with reasonable care. Confidential information does not include information that is public, independently developed, or lawfully received from another source.
11. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Services, you acknowledge our data practices as described there.
12. Disclaimers and warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.
We do not warrant that the Services will be error-free, secure, or free of harmful components, or that defects will be corrected. No advice or information obtained through the Services creates any warranty not expressly stated in these Terms.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Services.
Our total liability arising out of or relating to the Services is limited to the greater of (a) the total fees you paid to us for the Services giving rise to the claim in the 6 months before the claim, or (b) GBP 100. Nothing in these Terms limits liability that cannot be limited under applicable law, including for death or personal injury caused by negligence, or for fraud.
14. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses arising from your use of the Services, your content or data, your breach of these Terms, or your violation of any law or third-party right.
15. Termination and suspension
We may suspend or terminate your access to the Services at any time if you breach these Terms, if required by law, or if we discontinue a service. You may stop using the Services at any time. Provisions that by their nature should survive termination, including intellectual property, disclaimers, liability, and indemnity, will survive.
Amounts owed for work performed before termination remain payable.
16. Governing law and disputes
These Terms and any dispute arising out of or relating to them are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
Before commencing formal proceedings, both parties agree to attempt to resolve the dispute in good faith by contacting each other and negotiating for at least 30 days.
17. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
18. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any accepted proposal, are the entire agreement between you and us regarding the Services.
